1. Introduction
These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User” or “you”) and Nightify Company Limited (“Nightify,” “we,” or “us”). By accessing or utilizing any part of the Nightify website or any associated services (collectively, the “Services”), you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree to any part of these Terms, you must refrain from accessing or using the Services.
2. Eligibility to Use the Services
To access or use the Services, you must be at the age of majority. By creating an account or otherwise using the Services, you represent and warrant that you meet this minimum age requirement and that all information provided is accurate, current, and complete. You are solely responsible for safeguarding your account credentials and for all activities conducted through your account.
3. Classification of Venues
Nightify categorizes venues listed on its platform into two types: (a) Onboarded Venues, and (b) Non-Onboarded Venues.
3.1. Onboarded Venues are identified by a verified badge.
All venue-related data, including name, address, contact details, price range, music genre, and atmosphere, is provided and verified directly by the respective partner venues. Reservations for these venues may be made directly through the Nightify platform.
3.2. Non-Onboarded Venues do not display a verified badge.
When a user attempts to make a booking, they will be redirected to the venue’s official website or social media page to complete the reservation. Information provided on these profiles is based on publicly available sources and Nightify’s inferred data, including but not limited to pricing, genre, and ambiance. Nightify endeavors to ensure the accuracy of this information but does not guarantee its completeness or reliability.
4. Booking Terms and Venue Policies
By making a reservation through the Nightify platform, users acknowledge and agree to be bound by the booking procedures, venue-specific conditions, and operational policies outlined herein. Nightify acts solely as an intermediary and is not responsible for enforcing or monitoring compliance with individual venue policies, which may vary by establishment and are subject to change without notice.
4.1. Reservation Process
All bookings made through Nightify are considered requests and are not binding until confirmed by the respective venue. Users will receive a booking confirmation via email, or other designated communication channels. It is the user’s responsibility to review the reservation details and ensure their accuracy prior to attending the venue. Bookings may include specific terms such as table size, arrival time, minimum spend, or applicable time limits. Users must adhere to all booking conditions stated in the confirmation and on the venue’s profile page.
4.2. Venue-Specific Policies
When a user attempts to make a booking, they will be redirected to the venue’s official website or social media page to complete the reservation. Information provided on these profiles is based on publicly available sources and Nightify’s inferred data, including but not limited to pricing, genre, and ambiance. Nightify endeavors to ensure the accuracy of this information but does not guarantee its completeness or reliability.
- (a) Dress codes (e.g., smart casual, formal attire);
- (b) Age restrictions (e.g., 20+ admission);
- (c) Minimum spend requirements (e.g., minimum order value per table);
- (d) Table occupancy limits and time restrictions;
- (e) Identification requirements for entry or verification.
Users are solely responsible for familiarizing themselves with such policies prior to booking. Nightify does not guarantee that these requirements will be highlighted in advance and disclaims all liability for non-compliance or denied entry resulting therefrom.
4.3. Arrival Time and Table Reassignment
If a user fails to arrive at the venue within the specified time window outlined in the booking confirmation, the venue retains full discretion to cancel the reservation or reassign the reserved table to other customers without prior notice or compensation. Late arrivals are not entitled to any refund or service recovery unless expressly agreed upon by the venue. Users are strongly advised to arrive at the venue on time to ensure that their reservation is honored.
4.4. Cancellations and Modifications
Venues may cancel or modify a confirmed reservation at their sole discretion due to reasons including, but not limited to, overbooking, technical errors, or unforeseen circumstances. In such cases, Nightify will make reasonable efforts to notify the user but shall bear no responsibility for any inconvenience, loss, or damages incurred. Users may be permitted to cancel or modify a booking through the Nightify platform, subject to the venue’s own cancellation policy. Fees, penalties, or refund eligibility will depend entirely on the venue’s stated terms, which the user agrees to review before confirming the booking.
4.5. Deposits and Refund Responsibility
For certain bookings, a deposit may be required to secure the reservation. Such deposits, including the determination of amount, payment method, and refund eligibility, are governed solely by the venue’s policies. In the event of cancellation, dispute, or no-show, the venue bears full responsibility for any applicable refund. Nightify does not process refunds directly and shall not be liable for refund failures, delays, or disagreements arising from the venue’s handling of deposit payments.
4.6. Table Usage and Minimum Spend Enforcement
Venues may impose a maximum time limit for table occupancy to ensure availability for other guests. Similarly, venues may enforce a minimum spend amount as a condition for maintaining a reservation. If users fail to comply with such conditions during their visit, the venue may require early termination of service or charge additional fees. By booking through Nightify, users agree to accept and comply with any such policies as a condition of entry and service.
4.7. No Guarantee of Entry or Service
A booking confirmation issued by Nightify does not constitute a guarantee of entry or service. Venues reserve the right to deny access or service to any individual who fails to meet entry requirements, engages in inappropriate conduct, or violates venue policies. In such cases, Nightify shall bear no liability for denied access, and the user shall not be entitled to a refund.
5. Special Events and Booking Categories
Nightify may feature listings for special events organized and verified by partner venues. These events may be categorized as follows:
5.1. Table-Only Events permit users to reserve tables through the standard Nightify reservation system, and all applicable venue policies, including time limits and minimum spending requirements, shall apply.
5.2. Table With Ticket Packages includes both a reserved table and admission tickets for a specified event. Upon successful booking, the user will receive a QR code for entry. All guests under the reservation must possess valid QR codes for admission.
5.3. Ticket-Only Events allow users to purchase event admission tickets without reserving a table. A QR code shall be issued following confirmation of payment. The QR code must be presented at the venue in usable condition. Nightify shall bear no liability for denied entry resulting from damaged, lost, or manipulated QR codes. Unless otherwise stated, all event tickets are strictly non-transferable.
6. Refund and Cancellation Policy for Special Events
All bookings related to special events are subject to Nightify’s general refund and cancellation policy. Nightify does not accept any responsibility for cancellations, alterations, or other changes initiated by partner venues or event organizers. Users are advised to carefully review the specific terms of each event prior to confirming a reservation.
7. Venue Discounts and Promotional Offers
All discounts or promotional offers featured on the Nightify platform are determined at the sole discretion of the participating venues. Such offers may be subject to additional terms, including, but not limited to, minimum spending thresholds, time limitations, or designated seating areas. Nightify reserves the right to withdraw or amend any discount or promotional offer at any time, without prior notice.
8. Payment Terms
All payments made through the Nightify platform must be valid, duly authorized, and correctly processed. Users are solely responsible for any additional charges or expenses incurred at the venue. Refunds, where applicable, shall be administered in accordance with the individual venue’s policy.
All payment transactions are processed by authorized third-party providers. In the event of unauthorized use or suspected fraud, Nightify reserves the right to suspend or cancel the affected booking and investigate the matter in accordance with applicable laws.
9. Venue Information and Data Accuracy
Information presented for onboarded venues is verified and confirmed by the venues themselves. For non-onboarded venues, the information is obtained through public sources or Nightify’s internal estimates. Nightify makes no representation or warranty as to the accuracy, timeliness, or completeness of such information and shall not be liable for any inaccuracies or omissions. Media assets such as images or videos may be sourced from third-party platforms or social media and remain the intellectual property of their respective owners.
10. User Reviews and Communication Conduct
Nightify values the integrity and respectful nature of user-generated content, and is committed to fostering a positive and trustworthy community experience.
10.1. Submission of Reviews
Users who have completed a reservation through the Nightify platform may be eligible to submit reviews based on their personal experiences at the respective venues. Reviews may include written comments, ratings, and other evaluative content intended to inform future users. All reviews must be honest, constructive, and based on actual interactions with the venue. Fabricated, misleading, or defamatory reviews are strictly prohibited.
10.2. Content Standards and Moderation
All user-submitted content must adhere to standards of respect and appropriateness. Users are expressly prohibited from posting content that is offensive, obscene, defamatory, abusive, harassing, discriminatory, or otherwise unlawful. Reviews that contain hate speech, personal attacks, or vulgar language will be subject to immediate removal. Nightify reserves the right, in its sole discretion, to moderate, edit, or delete any user content that violates these standards or that it deems inappropriate for publication on the platform.
10.3. Prohibited Conduct in Reviews and Communications
Users shall not use the review function or any communication tools provided by Nightify to threaten, coerce, intimidate, or unduly pressure venues or their staff. Users are also prohibited from using reviews to demand refunds, favors, or compensation, or to misrepresent facts for personal gain. Any form of misuse of the review or communication features may result in suspension or permanent termination of the user’s account.
10.4. Venue and Platform Communications
Venues may contact users directly in connection with an existing or upcoming reservation for purposes such as confirmation, clarification of booking details, or communication of venue-specific policies. By using Nightify’s Services, you consent to receiving such communications from venues with which you have booked.
10.5. Nightify Notifications and Announcements
Nightify may communicate with users through in-app messages, push notifications, email, or SMS for service-related purposes. These may include booking confirmations, reminders, platform updates, policy announcements, and other transactional communications. Users may adjust their notification preferences via their account settings; however, certain essential notifications may be non-optional where necessary for the fulfillment of services.
10.6. Enforcement and Account Action
Nightify retains full authority to investigate and address any violations of this Clause. Violations may result in warnings, temporary suspension, or permanent deactivation of the user’s account. Nightify may also cooperate with relevant authorities where such behavior constitutes a breach of applicable law.
11. Account Registration and User Information
Users may register an account via standard email and password, or through Single Sign-On (SSO) using Google or Facebook. During registration, users must provide their full name, date of birth, nationality, and gender. Users may update their account information at any time through the Nightify platform.
12. Intellectual Property Rights
All proprietary content available on Nightify, including but not limited to logos, branding elements, and service-related materials, is the exclusive property of Nightify Company Limited. Unauthorized use, reproduction, or distribution of such content is strictly prohibited.
13. Limitation of Liability
Nightify shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or related to your use of the Services. This includes, but is not limited to, booking disruptions, event cancellations, inaccurate venue information, denial of venue entry, or technical failures related to QR code scanning. You agree that you use the Services at your own risk.
14. External Links and Third-Party Services
The Services may include links to third-party websites or services, including mapping tools and social media pages. Nightify does not operate or control such external sites and disclaims all responsibility for their content, policies, or practices.
15. Safety and User Responsibility
Nightify is committed to promoting a secure, respectful, and reliable environment for all users. However, as a digital platform that facilitates venue discovery and reservation services, Nightify is not involved in the operation, management, or oversight of the venues listed on the platform. Accordingly, users acknowledge and accept that they bear full responsibility for their own safety and conduct when visiting or interacting with such venues
15.1. Personal Conduct and Due Diligence
Users are expected to exercise reasonable judgment and discretion when selecting venues, making bookings, and visiting physical locations. It is the user’s sole responsibility to assess whether a particular venue, event, or setting aligns with their personal comfort, safety preferences, and any applicable legal or cultural norms. Users are encouraged to conduct independent due diligence, including reading reviews, confirming venue details, and considering local regulations or advisories prior to attending.
15.2. Code of Behavior at Venues
While at a venue, users must conduct themselves in a lawful, respectful, and appropriate manner in accordance with the venue’s house rules, safety regulations, and any instructions provided by venue personnel. Nightify disclaims any liability for incidents resulting from unruly, inappropriate, intoxicated, or otherwise disruptive behavior by users. Users who violate venue rules may be subject to removal or denial of service at the discretion of the venue, without entitlement to a refund or recourse through Nightify.
15.3. Assumption of Risk
By using Nightify’s Services and attending venues or events listed on the platform, users acknowledge that they do so voluntarily and assume all risks associated with their participation, including risks related to personal injury, property damage, transportation, crowd management, and health or safety hazards. Nightify shall not be held liable for any loss, damage, injury, illness, delay, accident, or adverse event occurring before, during, or after a user’s visit to a venue.
15.4. Venue Incidents and Disputes
Nightify is not a party to any transaction, service, or experience beyond the provision of reservation technology. In the event of a dispute between a user and a venue — whether related to service quality, security, personal property, or interpersonal conduct — such matters must be resolved directly between the user and the venue. Nightify assumes no liability and will not mediate or arbitrate such disputes, although we welcome reports of serious misconduct for review and quality assurance purposes.
15.5. Force Majeure
Nightify shall not be liable for any failure or delay in performance due to events beyond its reasonable control, including but not limited to acts of God, natural disasters, epidemics, government actions, or failures of suppliers or service providers.
16. Amendments to the Terms
Nightify reserves the right to modify, update, or revise these Terms at any time. All amendments shall be posted on this page. Continued use of the Services following the publication of any amendments constitutes your binding acceptance of the revised Terms.

18. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Thailand. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the Thai courts.
